Public Offer (Proposal) of the Online Store “pusher.cv” for the Sale of Goods
1. Terms and Definitions
1.1. In this offer, unless the context requires otherwise, the following terms have the meanings below and form an integral part of it:
- Seller — ICG (Physical Address: 33000, Ukraine, Rivne Region, Rivne, Soborna St., 1).
- Buyer — any individual who has accepted the public offer under the terms of this offer.
- Online Store — the official 24/7 online store of the Seller “pusher.cv”, located at https://pusher.cv. Within this agreement, the terms “Online Store” and “Store,” as well as the address https://pusher.cv and derivatives of pusher.cv, are equivalent and interpreted authentically based on the context of the offer.
- Product — the subject of the agreement, a list of assortment items presented in the official online store.
2. General Provisions
2.1. This public Offer (hereinafter – Agreement) is the Seller’s official proposal to any individual with legal capacity and authority to enter into a purchase-sale agreement for the Product under the terms of this offer, containing all essential terms of the agreement.
2.2. Relations in the field of consumer rights protection are governed by the Law of Ukraine “On Consumer Rights Protection” and other legal acts adopted in accordance with it.
3. Subject of the Agreement and Product Price
3.1. The Seller transfers, and the Buyer accepts and pays for the Products under the terms of this Agreement.
3.2. Ownership of the ordered Products passes to the Buyer upon actual transfer of the Product and full payment of its cost. The risk of damage or loss of the Product passes to the Buyer upon actual transfer.
3.3. ATTENTION! WHEN PURCHASING AN ELECTRONIC VERSION OF THE PRODUCT, YOU RECEIVE THE RIGHT TO USE IT WITHIN YOUR WEBSITE OR DOMAIN, NOT TO DISTRIBUTE IT ON THE INTERNET OR IN MASS MEDIA. WITHOUT THE SELLER’S PERMISSION, YOU MAY NOT PUBLISH OR TRANSFER THE ONLINE STORE’S PRODUCTS TO THIRD PARTIES. COPYRIGHT IS PROTECTED BY COPYRIGHT LAW.
3.4. The Buyer may not transfer license keys received with the purchased Product to third parties.
3.5. Product prices are determined unilaterally by the Seller and listed on the online store’s pages at https://pusher.cv.
3.6. The Product price is indicated in Ukrainian hryvnias.
3.7. The total Order amount, which in some cases (at the Buyer’s request) may include paid delivery and assembly, is indicated in the “Cart” section under “Total.”
4. Moment of Agreement Conclusion
4.1. The text of this Agreement is an official proposal (public offer) in accordance with the Civil Code of Ukraine.
4.2. Acceptance of this offer (agreement) is the Buyer’s placement of an order for the Product under the terms of this offer.
4.3. The Buyer places an order through the official online store.
4.4. The agreement concluded based on the Buyer’s acceptance of this offer is an adhesion contract, which the Buyer joins without exceptions or reservations.
4.5. The fact of placing an order by the Buyer is unconditional acceptance of this Agreement’s terms. A Buyer who has purchased a Product in the Seller’s online store (placed an order) is considered to have entered into a relationship with the Seller under the terms of this Agreement.
5. Payment for the Product
5.1. For cash payments, the Buyer must pay the Product price at the time of transfer, and the Seller must provide a cash or commodity receipt or other payment confirmation document.
5.2. For non-cash payments, the Buyer’s obligation to pay is fulfilled upon crediting 100% of the prepayment to the Seller’s account in the "PayPal/Stripe" (www.paypal.com) / (stripe.com).
5.3. A delay in payment exceeding 5 days is a material breach of this Agreement, allowing the Seller to unilaterally refuse to perform it, notifying the Buyer.
5.4. Products are supplied to the Buyer at prices, names, and quantities corresponding to the paid invoice.
6. Rights and Obligations of the Parties
6.1. The Seller undertakes to:
6.1.1. From the moment of concluding this Agreement, fulfill all obligations to the Buyer in accordance with its terms and applicable law. The Seller reserves the right to not fulfill obligations in case of force majeure circumstances as per clause 11.
6.1.2. Process the Buyer’s personal data and ensure their confidentiality as per applicable law.
6.1.3. By accepting this offer, the Buyer consents to the Seller (hereinafter – Operator) processing their personal data, including full name, date of birth, gender, workplace, position, postal address, phone numbers, and email, for collection, systematization, storage, updating, use, distribution (including transfer within Ukraine and cross-border), anonymization, blocking, and destruction, and transferring them to the Operator’s counterparties for further processing to improve service quality, conduct marketing programs, statistical research, and promote services via direct contacts through mail, email, phone, fax, or the Internet.
6.1.4. The Buyer allows the Operator and its counterparties to process personal data using automated database systems and other software.
6.1.5. The Buyer agrees that, if necessary, their personal data may be transferred to third parties for the purposes of this offer, provided they comply with Ukrainian laws on data confidentiality and security.
6.1.6. The Operator informs recipients of the Buyer’s data about their confidentiality and limited use. The Buyer may request information about their data or demand correction/deletion by sending a written request to the Operator’s address. Consent to data processing is indefinite and may be withdrawn via a written statement.
6.2. The Seller has the right to:
6.2.1. Unilaterally change this Agreement, Product prices, service tariffs, payment, and delivery terms, posting them at https://pusher.cv. Changes take effect immediately upon publication.
6.2.2. Record phone conversations with the Buyer, preventing unauthorized access to information as per Ukrainian Law № 2657-XII.
6.2.3. Transfer rights and obligations under this Agreement to third parties without Buyer’s consent.
6.2.4. Require 100% prepayment for ordered Products.
6.2.5. Request access to the Buyer’s website admin panel to verify Product functionality.
6.2.6. Deny support to the Buyer for reselling or transferring Products to third parties or violating this offer.
6.3. The Buyer undertakes to:
6.3.1. Review the Agreement and Product prices before concluding it.
6.3.2. Provide all necessary data for identification and Product delivery.
6.3.3. Pay for the Product and its delivery as per this Agreement.
6.3.4. Comply with sales rules and not use Products for commercial purposes.
6.3.5. Not provide Products to third parties for free or for review.
6.3.6. Provide access to the website admin panel upon Seller’s request for Product functionality checks.
7. Product Delivery
7.1. Product delivery occurs within the terms agreed by the parties or specified on the order page.
7.2. Delivery is made by sending an email with a download link, unless otherwise agreed.
7.3. Download links may be valid for 24 hours and limited to three uses by the Buyer.
8. Buyer Technical Support
8.1. Support is provided by the Product’s author on the support forum.
8.2. The Buyer may request support for 6 months from payment or 1 year if specified by the author.
8.3. Support may be extended if offered by the author.
8.4. Access to the support forum is closed after the support period ends.
8.5. Product updates may be limited to the support period.
8.6. Support for “VIP” Products is provided only to Buyers with active “VIP” status.
8.7. For Products activated with a key, the Buyer may request activation reset for domain transfer within 6 months from payment.
8.8. Product comments are for pre-purchase questions only; non-relevant comments may be deleted.
9. Product Return and Exchange
9.1. Within 14 days from full payment, the Buyer may request a refund with a written statement including full name, ID details, order number, sent by registered mail to the Seller’s address.
9.2. Return or exchange is granted if the Product has an unresolvable issue or does not match the described functionality.
9.3. The Buyer compensates the Seller’s expenses related to return or exchange.
10. Offer Revocation
10.1. The Seller may revoke the offer at any time, posting a notice in the online store at least 12 hours before the revocation, indicating the exact time (Kyiv time zone).
11. Force Majeure
11.1. Parties are exempt from liability for non-performance due to force majeure events (e.g., strikes, floods, wars) beyond their control. Legislative changes are not force majeure, but parties must promptly address such issues.
12. Liability of the Parties
12.1. Parties are liable under Ukrainian law.
12.2. The Seller is not liable for delivery if the Buyer provides an incorrect address.
12.3. The Seller is not liable if the Buyer’s expectations about Product properties are unmet.
12.4. The Seller is not liable for non-performance due to force majeure.
12.5. The Seller is not liable for losses from the Buyer’s use of the Product.
12.6. Illegal use of information from the online store is prosecuted under Ukrainian law.
12.7. For violating this offer or transferring Products to third parties, the Buyer’s account is blocked without restoration.
13. Other Conditions
13.1. Disputes are resolved through negotiations or in court under Ukrainian law.
